Tomorrow i. e. on 5th July, 2014 is the date fixed for AGM and I request all of you to please participate in the meeting as the same is a day when the members can appraise the working of the managing committee and register their objections and complains.
As all of you are aware of the present working atmosphere of the branch, being an elected member of the committee, I feel my moral responsibility to make you all aware of the things, happenings and events of the previous year which has left me bewildered with pain. I do not want to complain against any one, but looking at the following incidents and events, I definitely leave to the members of the Varanasi Branch to decide who is responsible for the present scenario. With heavy heart I bring out the following facts:-
1. MEMORANDUM OF UNDERSTANDING
After the elections of the managing committee way back on 4th March, 2013, the new managing committee came into existence and the further election of the office bearers were scheduled on 9th March, 2013.
Before 9th March, i. e. on 7th March, 2013, four members namely CA. Sudeshna Basu, CA. MAnoj Kumar Agrawal, CA. Vishwajeet Singh and CA. Rahul Kumar Singh entered into an MOU to hold office as office bearers of the branch for all three years. That was the date when the first sin was committed and seeds of hatred was sowed between the members of the Varanasi Branch. As far as my knowledge, this MOU was executed in the office of a very senior CA in the presence of few other senior CAs.
On a scheduled date of 9th March, 2013, the scripted drama was played at the branch premises and CA. Sudeshna Basu was elected as chair person, who with little modification to the MOU so as to project her secular image nominated other office bearers of the managing committee. I and CA. S. K. Dwivedi unaware of the MOU consented to the move to make consensus and the managing committee was formed. It was like stabbing dagger at the back.
Now friends, the question who is responsible for that, why was this discrimination done, how did the seniors who were present make this happen????? All this is left for you to decide.
2. REMOVAL OF TREASURER
Very soon after the formation of managing committee, the chair person CA. Sudeshna Basu proposed removal of CA. Rahul Kumar Singh, the treasurer on grounds of misappropriation of funds out of the branch building fund. The rest story after that with regard to this issue is already known to all members so the same is not written. This was the date when the branch moved to the next stage of hatred and landed itself in eclipse.
Lately after all the investigations, the apex body of ICAI treated the removal of CA. Rahul Kumar Singh illegal and gave relief to him on the grounds of benefit of doubt.
The result of this exercise is that a personal enemity between CA. Rahul Kumar Singh viz. a viz. CA. Sudeshna Basu, CA. Manoj Kumar Agrawal and CA. Vishwajeet Singh has surfaced which is grossly affecting the working of the Varanasi Branch. The ego clash is so severe that the present chairman is frequently using his position and branch platform to satisfy his ego.
Now, again who is responsible for all this and who is paying the price is left for the members to decide.
3. POSTPONEMENT OF ELECTION
The elections of the office bearers for the term 2014 – 15 was scheduled before 28th February, 2014 as per the ICAI directions but the same was intentionally postponed by the chair person CA. Sudeshna Basu and secretary CA. Manoj Kumar Agrawal on flimsy grounds of investigation against CA. Rahul Kumar Singh and due diligence audit, etc. in spite of 4 consequent mails from the ICAI to do so.
However, the main reason for this was different. CA. Sudeshna Basu, CA. Manoj Kumar AGrawal and CA. Vishwajeet Singh planned to visit the chairman orientation programme scheduled on 20th April, 2014 at mount Abu along with their family members. The three people visited the orientation picnic with their family members and an amount if approx. Rs. 50,000 on account of their hotel stay with family and other miscellaneous expenses has been debited to the branch books. Needless to mention here the per day hotel rates are around Rs. 6,000 per room. Now the following questions comes to the fore.
1. Which committee meeting approved this visit and specially along with family?
2. As per which rules the treasurer visited?
3. Why did the chair person visit when she had already done the orientation before her tenure and it was certain that she is not going to continue as chair person?
4. Who is responsible for this unethical, immoral and impropriety behavior?
4. HANDING OF CHARGE
After the elections, I was elected as the Secretary through draw of lots. You would be wondering that I am not discharging my duties as Secretary. I hereby submit that despite my repeated insistence, I have not been handed over charge by the outgoing Secretary who is presently chairman of the branch.
During May, 2014, when CA. Nitish Agrawal, Chairman CIRC visited Varanasi, I raised the issue in front of him and on his insistence and the assurance of CA. Manoj Kumar Agrawal that he will hand over all the requisite documents in due course, I signed the charge documents as a goodwill gesture. However, CA. Manoj Kumar Agrawal handed over to me a key of the almirah which contained a blank minute and few other redundant papers. On enquiring for the other old minute book of the managing committee and members, he said that those are important papers and is in my safe custody in locker. Further, he did not give any justification why the previous minute book be not continued for future meetings. I also do not have the branch email id, password and the password of the branch computer. Now, the question that erupts in this regard are as follows :-
1. How do I function in such a scenario?
2. Whether the documents termed important by the chairman is important for CA. Manoj Kumar Agrawal or Varanasi Branch?
3. Why shall such documents be in the safe custody of one person, specially when the same are termed as public documents?
4. Why is the branch chairman reluctant to handover the documents, specially the possession which of he had while he was secretary. What is he afraid of ?
5. SIGNING OF FINANCIAL STATEMENTS
Immediately after formation of the managing committee, the chairman started pressurizing me to sign me the balance sheet of the branch. I requested him that since I was not party to any of the transactions of the branch, let me have a basic review of books after which I shall sign it.
The chairman was reluctant at my request but I still had a brief look at few of the accounts on sample basis, the knowledge of which I had due to my being in the managing committee. On the insistence of the auditor, I issued a letter to the auditor highlighting matter where financial proprietary was grossly ignored and subject to it I signed the balance sheet. The matter was very serious and had the implications of thousands of rupees but the same was grossly ignored by the auditor as he never reverted on the same (copy of the letter enclosed). Now, the question in this regard that arises are as follows :-
1. How was the excess cash drawing of Rs. 1,000 in travelling expenses adjusted?
2. How was the air ticket charges of Rs. 23,748 incurred on 17.05.2013 by CA. Sudeshna Basu and CA. Manoj Kumar Agrawal from Bhopal to Varanasi justified?
3. How was the expense of Kanpur visit aggregating to Rs. 37,923 justified specially when the same was not approved in any of the managing committee meeting?
4. How was the hotel charges of Rs. 6,000 per day per room for stay at Hotel Landmark, Kanpur justified?
5. How was the cricket tournament expense booked into the branch books justified specially when CA. Manoj Kumar Agrawal had reiterated number of times that no expense in this regard shall be booked into the branch books? Further, since the event was also not circulated within the members of the Varanasi Branch, how the same shall be construed as event of Varanasi Branch is a big question mark.
6. How an expenditure of Rs. 14,710 debited on 19.03.2014 to meet the ICAI president justified when no approval of the same was taken in any of the managing committee meeting neither any invitation to meet the president is found on record?
7. How travelling in First A.C. Train Compartment in respect of Question No. 6 justified?
8. How is the office bearers expenditure on breakfast and snacks aggregating to more than Rs. 70,000 justified and how far the same is reasonable to be booked under the head office expenses?
9. The above is an illustrative list on sample verification and has to be justified in line with proprietary of expenses.
6. BRANCH BUILDING
All the above issues have resulted in mass hatred and ego clashes within the members of the managing committee with the personal egos prevailing over the branch interests.
The cost of all this is being borne by the members of Varanasi Branch with the branch continuing to run in a small, stingy place and involving a monthly recurring expense of Rs. 30,000 on one hand whereas the own building involving a capital outlay of Rs. 2.50 Crores and monthly notional costs running in Lacs is decaying on the other hand. Now, the question that arises are as follows :-
1. Who is responsible for this fiasco?
2. Even if everything is overlooked and the building work is initiated forward, the last outstanding bill of the contractor will have to be paid. The moment the same is paid, it will automatically go on to validated all previous payments which had been the subject matter of controversies. Will the present chairman let this happen specially when he has developed personal ego clash with CA. Rahul Kumar Singh and has been instrumental in this controversy?
Friends, there are lot more issues on the proprietary side of expenses but somewhere I have to conclude. Henceforth, I request all the members of the Varanasi Branch to make it convenient to attend the AGM at 12 Noon on 5th July, 2014 and pass appropriate resolution as deemed fit.

Tomorrow i. e. on 5th July, 2014 is the date fixed for AGM and I request all of you to please participate in the meeting as the same is a day when the members can appraise the working of the managing committee and register their objections and complains.
As all of you are aware of the present working atmosphere of the branch, being an elected member of the committee, I feel my moral responsibility to make you all aware of the things, happenings and events of the previous year which has left me bewildered with pain. I do not want to complain against any one, but looking at the following incidents and events, I definitely leave to the members of the Varanasi Branch to decide who is responsible for the present scenario. With heavy heart I bring out the following facts:-
1. MEMORANDUM OF UNDERSTANDING
After the elections of the managing committee way back on 4th March, 2013, the new managing committee came into existence and the further election of the office bearers were scheduled on 9th March, 2013.
Before 9th March, i. e. on 7th March, 2013, four members namely CA. Sudeshna Basu, CA. MAnoj Kumar Agrawal, CA. Vishwajeet Singh and CA. Rahul Kumar Singh entered into an MOU to hold office as office bearers of the branch for all three years. That was the date when the first sin was committed and seeds of hatred was sowed between the members of the Varanasi Branch. As far as my knowledge, this MOU was executed in the office of a very senior CA in the presence of few other senior CAs.
On a scheduled date of 9th March, 2013, the scripted drama was played at the branch premises and CA. Sudeshna Basu was elected as chair person, who with little modification to the MOU so as to project her secular image nominated other office bearers of the managing committee. I and CA. S. K. Dwivedi unaware of the MOU consented to the move to make consensus and the managing committee was formed. It was like stabbing dagger at the back.
Now friends, the question who is responsible for that, why was this discrimination done, how did the seniors who were present make this happen????? All this is left for you to decide.
2. REMOVAL OF TREASURER
Very soon after the formation of managing committee, the chair person CA. Sudeshna Basu proposed removal of CA. Rahul Kumar Singh, the treasurer on grounds of misappropriation of funds out of the branch building fund. The rest story after that with regard to this issue is already known to all members so the same is not written. This was the date when the branch moved to the next stage of hatred and landed itself in eclipse.
Lately after all the investigations, the apex body of ICAI treated the removal of CA. Rahul Kumar Singh illegal and gave relief to him on the grounds of benefit of doubt.
The result of this exercise is that a personal enemity between CA. Rahul Kumar Singh viz. a viz. CA. Sudeshna Basu, CA. Manoj Kumar Agrawal and CA. Vishwajeet Singh has surfaced which is grossly affecting the working of the Varanasi Branch. The ego clash is so severe that the present chairman is frequently using his position and branch platform to satisfy his ego.
Now, again who is responsible for all this and who is paying the price is left for the members to decide.
3. POSTPONEMENT OF ELECTION
The elections of the office bearers for the term 2014 – 15 was scheduled before 28th February, 2014 as per the ICAI directions but the same was intentionally postponed by the chair person CA. Sudeshna Basu and secretary CA. Manoj Kumar Agrawal on flimsy grounds of investigation against CA. Rahul Kumar Singh and due diligence audit, etc. in spite of 4 consequent mails from the ICAI to do so.
However, the main reason for this was different. CA. Sudeshna Basu, CA. Manoj Kumar AGrawal and CA. Vishwajeet Singh planned to visit the chairman orientation programme scheduled on 20th April, 2014 at mount Abu along with their family members. The three people visited the orientation picnic with their family members and an amount if approx. Rs. 50,000 on account of their hotel stay with family and other miscellaneous expenses has been debited to the branch books. Needless to mention here the per day hotel rates are around Rs. 6,000 per room. Now the following questions comes to the fore.
1. Which committee meeting approved this visit and specially along with family?
2. As per which rules the treasurer visited?
3. Why did the chair person visit when she had already done the orientation before her tenure and it was certain that she is not going to continue as chair person?
4. Who is responsible for this unethical, immoral and impropriety behavior?
4. HANDING OF CHARGE
After the elections, I was elected as the Secretary through draw of lots. You would be wondering that I am not discharging my duties as Secretary. I hereby submit that despite my repeated insistence, I have not been handed over charge by the outgoing Secretary who is presently chairman of the branch.
During May, 2014, when CA. Nitish Agrawal, Chairman CIRC visited Varanasi, I raised the issue in front of him and on his insistence and the assurance of CA. Manoj Kumar Agrawal that he will hand over all the requisite documents in due course, I signed the charge documents as a goodwill gesture. However, CA. Manoj Kumar Agrawal handed over to me a key of the almirah which contained a blank minute and few other redundant papers. On enquiring for the other old minute book of the managing committee and members, he said that those are important papers and is in my safe custody in locker. Further, he did not give any justification why the previous minute book be not continued for future meetings. I also do not have the branch email id, password and the password of the branch computer. Now, the question that erupts in this regard are as follows :-
1. How do I function in such a scenario?
2. Whether the documents termed important by the chairman is important for CA. Manoj Kumar Agrawal or Varanasi Branch?
3. Why shall such documents be in the safe custody of one person, specially when the same are termed as public documents?
4. Why is the branch chairman reluctant to handover the documents, specially the possession which of he had while he was secretary. What is he afraid of ?
5. SIGNING OF FINANCIAL STATEMENTS
Immediately after formation of the managing committee, the chairman started pressurizing me to sign me the balance sheet of the branch. I requested him that since I was not party to any of the transactions of the branch, let me have a basic review of books after which I shall sign it.
The chairman was reluctant at my request but I still had a brief look at few of the accounts on sample basis, the knowledge of which I had due to my being in the managing committee. On the insistence of the auditor, I issued a letter to the auditor highlighting matter where financial proprietary was grossly ignored and subject to it I signed the balance sheet. The matter was very serious and had the implications of thousands of rupees but the same was grossly ignored by the auditor as he never reverted on the same (copy of the letter enclosed). Now, the question in this regard that arises are as follows :-
1. How was the excess cash drawing of Rs. 1,000 in travelling expenses adjusted?
2. How was the air ticket charges of Rs. 23,748 incurred on 17.05.2013 by CA. Sudeshna Basu and CA. Manoj Kumar Agrawal from Bhopal to Varanasi justified?
3. How was the expense of Kanpur visit aggregating to Rs. 37,923 justified specially when the same was not approved in any of the managing committee meeting?
4. How was the hotel charges of Rs. 6,000 per day per room for stay at Hotel Landmark, Kanpur justified?
5. How was the cricket tournament expense booked into the branch books justified specially when CA. Manoj Kumar Agrawal had reiterated number of times that no expense in this regard shall be booked into the branch books? Further, since the event was also not circulated within the members of the Varanasi Branch, how the same shall be construed as event of Varanasi Branch is a big question mark.
6. How an expenditure of Rs. 14,710 debited on 19.03.2014 to meet the ICAI president justified when no approval of the same was taken in any of the managing committee meeting neither any invitation to meet the president is found on record?
7. How travelling in First A.C. Train Compartment in respect of Question No. 6 justified?
8. How is the office bearers expenditure on breakfast and snacks aggregating to more than Rs. 70,000 justified and how far the same is reasonable to be booked under the head office expenses?
9. The above is an illustrative list on sample verification and has to be justified in line with proprietary of expenses.
6. BRANCH BUILDING
All the above issues have resulted in mass hatred and ego clashes within the members of the managing committee with the personal egos prevailing over the branch interests.
The cost of all this is being borne by the members of Varanasi Branch with the branch continuing to run in a small, stingy place and involving a monthly recurring expense of Rs. 30,000 on one hand whereas the own building involving a capital outlay of Rs. 2.50 Crores and monthly notional costs running in Lacs is decaying on the other hand. Now, the question that arises are as follows :-
1. Who is responsible for this fiasco?
2. Even if everything is overlooked and the building work is initiated forward, the last outstanding bill of the contractor will have to be paid. The moment the same is paid, it will automatically go on to validated all previous payments which had been the subject matter of controversies. Will the present chairman let this happen specially when he has developed personal ego clash with CA. Rahul Kumar Singh and has been instrumental in this controversy?
Friends, there are lot more issues on the proprietary side of expenses but somewhere I have to conclude. Henceforth, I request all the members of the Varanasi Branch to make it convenient to attend the AGM at 12 Noon on 5th July, 2014 and pass appropriate resolution as deemed fit.
