New Delhi, 8 June When Nita Ambani joins the board of Reliance Industries on June 18, she will be among a dozen members of promoter families taking up board positions in recent months. Women from promoter families who have become directors since January this year include Sarala Birla ( Century Textiles, Century Enka), Nawaz Gautam Singhania ( Raymond Group), Bina Modi (Godfrey Phillips), Saroj Bhartia ( Jindal Drilling & Industries) and Deepshikha Khaitan ( Cera Sanitaryware). As corporate India ramps up its search for woman directors to meet a rule that requires women's participation on the boards of listed and some private companies, the promoter families have been a key catchment source for new directors. However, some of the recent marquee appointees have been associated with various ventures of respective corporate groups. With the introduction of a new companies law, 85 companies listed on the National Stock Exchange ( NSE) signed on 80 women directors between January and May this year, according to research by Indianboards. com, a joint initiative of NSE and Prime Database. Around 50 of these appointments were as independent directors. In the same period last year, 40 women were appointed directors. Indianboards. com found that two- thirds of the 1,500- odd listed companies on NSE did not have any woman member on their boards in March 2014. A Bloomberg study said nearly half the top- 100 companies listed on BSE did not have woman directors. Though human resource ( HR) heads complain of inadequate availability of board- level talent and seek more time to fill up such vacancies, experts feel tapping the family for directors is a shortterm measure. " Women from promoter families, unless active in business or suitable, should be avoided, for reasons of governance and other practical considerations," said a recent note by accounting firm Grant Thornton advising clients on the issue. "Indian boards should give adequate weight to merit. A well- rounded board brings strategic value to any business" says Pranav Haldea, managing director, Prime Database. Shriram Subramanian, founder, Ingovern, an independent proxy advisory firm, says these are early days for corporate India's efforts to bring gender diversity into boardrooms. " Indian boards could also use this opportunity to bring cultural diversity by selecting woman professionals from other countries," suggests Subramanian. The new companies law has raised the bar on the liabilities of directors. Pallavi Shroff, senior partner at law firm Amarchand Mangaldas, says one needs due diligence about the company and its corporate culture before accepting a position on its board. Shroff, who sits on the boards of eight companies, says she and many of her woman lawyer colleagues regularly get calls from headhunters exploring their interest in board positions. " In most cases, Irefuse politely" she says. Citing paucity of talent, industry body Confederation of Indian Industry ( CII) said in a recent note to the corporate affairs ministry that the government should dispense with the requirement for woman director on boards of unlisted companies. But HR consultants feel companies need to come out with long- term strategies to facilitate the path of talented woman employees to the boardrooms. This will also help improve representation of women in top management. India was one of the last three among Asian nations in representation of women on boards or executive positions, said a Mckinsey & Co report. |

The Supreme Court has ruled that a criminal case against one of the contracting parties cannot stall arbitration. " The balance of convenience is more in favour of permitting arbitration proceedings to continue rather than to bring it to a grinding halt," the court stated in its judgment, Swiss Timings Ltd vs Organising Committee, CWG. The court clarified that the award could be challenged later if there was conviction after trial of the accused persons. In this case, the foreign company which provided the time, score and result systems for the Commonwealth Games 2010 invoked the arbitration clause when there were disputes over payment. The CWG committee resisted arbitration on the ground that the company had received undue favours and the matter was probed by the CBI and criminal proceedings are going on in the trial court. Its judgment and the arbitral award might be contradictory leading to confusion, which should be avoided by the apex court. There were a number of suits and cross suits between a German wind turbine manufacturer Enercon GmbH and its Indian partner Enercon India Ltd in the Delhi High Court and the Intellectual Property Appellate Board. The builder had won a contract for a the corporation went bankrupt and was recommended for winding up. The project had to be shelved. The builder sued the corporation in the high court alleging breach of contract. Its petition was dismissed. The assessment covered the period from 1982 to 1985 and the law has changed since then. The apex court did not put an end to the dispute, but allowed the firm to approach the competent authority with its views on normal price, place of removal of the tractors, transportation charges which were not considered by the authorities or the high court. The show- cause notices alleged under assessment, concealment of invoice value, sales depots in different states were run by related persons and other charges. It upheld the injunction against Procter & Gamble passed earlier by a single- judge bench against the use of the words claimed by Anchor company. The Indian company had argued that it was using the words 'allround' in its ads as slogan or tagline and it has been associated with its dental care products. It complained that the rival company was riding piggy back on its success by adopting the same phrase on similar products. Procter & Gamble contended that the words were descriptive and could not be registered as a trade mark. The high court accepted the arguments of Anchor and observed that the expression " allround protection" amounts to a trade mark due to repetitive use and was " capable of being represented graphically, distinguishing the goods of one from another." " A registered proprietor of a design can under Section 22 of the Trade Marks Act file a suit for infringement against a registered proprietor of a design," the court stated in its judgment, Whirlpool India vs Videocon Industries while holding the latter guilty of violation of two Whirlpool designs and of 'passing off' washing machines. Whirlpool alleged that "Videocon Pebble" washing machine had virtually the same design and features of its products. The colours were also imitated making the products of the two companies indistinguishable for the consumers. The design was registered by Whirlpool, it was argued. Videocon countered that its machine was registered under the law. The labour court had ordered reinstatement of several such temporary hands. The state government had regularised some through a notification in 2003. However, the judgment, while setting aside the order declining representations of the employees, directed the state to issue fresh orders in each case. It observed that the deprivation of employment was in contravention of natural law of equality of citizens placed equally. The court has a duty to step in and protect workers against discrimination and unfair labour practices, it said. |
