MCA clarifies on managerial remuneration paid by listed companies and their subsidiaries to the managerial personnel under Schedule XIII of Cos. Act, 1956; Refers to MCA Circular issued under Cos. Act, 1956 (issued in 2012) and clarifies that the managerial personnel may continue to receive remuneration for remaining term in accordance with terms and conditions approved by company as per provisions of Schedule XIII of Cos. Act, 2013 (relating to the rate of interest for loans by companies); States that where the effective yield (i.e. effective rate of return) on tax free bonds is greater than the prevailing yield of 1 year, 3 year, 5 year or 10 years Govt. Security (closest to the tenor of loan), then there is no violation of provisions of Cos.
