This is only on paper. I have not seen any such a courageous Company Secretary. Even C S had given a wrong , untruth totally affidavit in a case of Dividend paid out of capital , illegal payment of dividend , out of the proceeds of public issue money.!!!

Company secretaries can now act as whistleblowers
KOLKATA: With the new Companies Act in place, company secretaries (CS) like other statutory auditors can now act as whistleblowers if they detect any fraud.
"There is a provision of whistleblower in the new Companies Act. It is now mandated in the act of 2013," Institute of Company Secretaries of India (ICSI) president Atul Mehta said.
