There are some many other aspect to take in to Meeting with Infosys .
1. Liquidation Companies updates are not available to Investors from Web of M C A at all.
2. Ultimate final distribution as pay off in case of liquidation process is not known to Investors.
3. Web of M C A is not complete and correct and updated from time to time. If we take Liquidation companies list as of 2009 only.!!!!!. When just some time back I visited web of M C A >
4. When an Investors/ professional / Advocate / Chartered Accountant/ Chartered Secretary and all other pay for investigation of / Inspection of Record of Companies due to malfunction of Web of MCA it is automatically shuts up and fees paid on web is taken a way . 24 hours or day counting is not done properly. It is only for once and while only.
5.How the scrutiny of of accounts take place at Registrar of Companies Office , is doubtful . When they have received a complaint against one company Named Ratnamani Engineering Limited now Ratnamani Metals and Tubes Limited as well as back in 1994 a note of complaint was filed by me. Since then no action is taken by any one!!! ROC, Regional Director, M C A Offices , Official Liquidators office , SIFO( Serious Fraud Investigation ) office not taken any action so far. Even though while in Amalgamation Petition filed by Company , upon by Hon . High Court and Official Liquidator office appointed one Chartered Accountant , C A Mr. Kaushik K Patel for valuation of the Company and reporting in the respect. He with due respect to all Submitted that he reported that in 1994 March 31 Account showed a fictitious profit , from Know How fees ,credited as Know How fees not received from any body, credited to P & L Account and Debited to Machinery Account and other accounts. Out of this only Profit shown paid the dividend. At the same time Tax Auditor , same Statutory Auditor , excluded the same income shown as profit in Tax Audit Report as not taxable as Income!! This aspect til today is not considered by Registrar of Companies !!! The documents are attached . This is submitted with due respect to all. 6. All e mails of Officials are not working at all. If you send them e mail it will bounce back to you with the reasoning Disc data is full. !!!!!!!!!!What is the object in giving such e mail id by Government?
7. Since this is computerized Level centrally , documents submitted can be changed after some time!!!!! How fool proof is the system ?
8. When Company law Tribunal would be effected ?
9. Coming to the other aspect of filing Balance Sheet , Accounts and all , there are many Companies who are filing Accounts and all other documents , do not even send to Shareholders. How scrutiny of accounts are taken ? When a Public Company is filing accounts, it should be seen that all information are supplied to stakeholders .This can e verified from the Account by debit of Printing Expenses and Postage expenses. It is many times NIL.!!! How the accounts are scrutinized best known to them? Even complaint is filed but no action is taken. I have the Name of One Company , Baroda Crystal Glass Limited incorporated well back in 1944 or earlier the shareholder Initially from 1944 till date did not receive any correspondences!!!
10. There are many more companies which are silent , formerly Listed Company , and subsequently bought back the shares. Then it is meant for their own control and no mails , correspondences are send . The profit is hidden for their themselves only!!!!
11. There are many more fallacies of MCA. All offices are full of corruption only. I will write to you later.
12. No information about companies in liquidation process , silent companies. They are not sending any communication to stakeholders for many years together . No accounts are sent by Office of Liquidator to shareholders as to distribution of proceeds or so for years together !!!
13. When complaint is lodged in writing about mismanagement of company , accounts , why action is not taken by office of Registrar of Companies ??? Data of complaints received and disposal, how disposed off , should be taken by M C A from time to time. If there is wrong reporting action on officer appropriate should be taken .
14. Transparency should be in office of MC A at all levels.
15. Is there any function in computer system to file the same documents again after rectifying the mistake in under time of office by Officers of M C A ? This is very unethical and against provisions of Law.
16. Those shareholders holding shares in demat form and having given e mail , opted with Go Green with depository , the company which is silent do not even cared to send any communication by e mail?
16. E voting is conducted through by NSDL. But working is not efficient. In sense Password is not workable as sent by NSDL.
