We should respect to seniors. The very example of Sacchai ka jamana nahi nai. Attached documents show very explicitly. What is  sacchai can be verified and known..............Encouraged , practiced by seniors in all fields,  for more than 18 years , even seniors practicing cs encouraged by not producing Tax audit report in proceeding. A case of dividend paid out of capital , illegal payment of dividend.

May be am late in responding....but yes..i cant absolve myself from responding...

the trailing mail is all about knowledge-less juniors and  jobless CS freshers......can we speak a bit about knwoledge-less seniors too please??

i have come across ppl with more than 20 yrs of experience as CS and speak bad English?? they do know about Section 81(1A) and applicability to unlisted public companies....reason.....they are busy in handling DGFT/ CST/Service tax and what not..the basic Secretarial compliance are left to juniors (trainees)..here the junior gets fully trained and equipped to handle the secretarial matters....but the survival of senior is more welcome in the industry.........he will be offered a better job just coz he can manage the bureaucratic government departments ..as rightly said Lobbying works...send gifts to ROC offices/ other govt depts and Lo!!! your job is done next time you visit there

and coming to pay packets.....even Doctors issue fake medical certificates so that the patient undergoes further tests and the doc earns extra bucks...similarly a CA/CS/CWA issues audit report/ Cost report/ sec report just to earn extra bucks...if i stick to basics and speak law and charge low...my client will definitely go my neighbour ..who charges an extra fee to compromise on records...am forced to compromise for my survival....or atleast to save my skin....give the client to my friend and charge a fee for referrals

believe me....sachhayi ka zamaana nahin hai........ many CS have worked for the profession...but just like the Doctors we too have become money minded and reducing the value of our profession...but do not worry...even today we go to doctors inspite of knowing that they charge unnecessarily ..similarly..even corporates will come to CS ...its only a matter of time..............

If we talk about poor knowledge of juniors at a certain point of time it is right, because we generally see the mails asking small queries which pertains to basics of Companies Act, 1956. At the same time it is wrong to blame every time the knowledge of the members who are juniors dragging the subject matter of the mail. It is observed that, 'any'  point raised by any member is ultimately dragged to the poor knowledge of juniors and concluded on the same lines. 

Mr. Dholakia has said it rightly that our study material is of very good standard and one must be acquainted to the laws if  he/she has passed the final examination. Here I would like to drag attention to a point........who is to blame for>>> a student taking shortcut by reading guidelines to pass OR an authority repeating the questions so many times that they get covered in small amount of guidelines??????

It is s human nature to search for the shortcuts.... but there should be control on the making shortcuts or else no need to  spend on highways and blaim on huge number of shortcuts creating hurdle for them who are on highways............... 

Secondly the morale of the students and juniors shall be boosted ......I have seen many freshers not getting a job opportunity or reporting to a unqualified person who has gained experience in secretarial.....Just think about the frustration they are going through....Are we not the one who will extend a hand full of help?????..... Authorities seems to be unaware (or playing blind) on these fronts... One can not expect a junior to be a warrior at his first step in the Industry we shall keep in mind that this is not the world of Abhimanyu's......................

I apologize to name it as war.... but thats the real situation professionally .........psychologically......... and economically...........when it comes to juniors/freshers........ 

As far as the subject matter of young and dynamic minister is concerned............ "Ki farak penda hai" (what difference it makes) whoever and whatever he/ she is..... we are the members of this group... and the country...we shall come forward to make  a difference...

Please be united...we need all the experienced ones to guide and juniors to walk on the path with that guidance......rather than talking and taking the matters raised personally, please take them professionally......try to understand each other and make a way.....a highway..............to drive the profession with pride...

We say we are Company Secretaries but do not know what a Company Secretary is & what is the difference in between Company Secretary & Secretary of the Company, we claim our selves expert of Company Law but do not know what exactly our designation is under the provisions of the Companies Act, in such a situation what right we have to blame our juniors, Mr. Dholakia do not take it otherwise think positively.

You are most welcome to interview my team members who have undergone training with me and you can ask them how they were trained and what was the depth of their knowledge even English Language  when they joined and left.  Poor knowledge means " they do not know  basic sections when they make entry in the Register of Members".  Poor knowledge means basic knowledge.  Students do not read study material of the Institute which is of very good standard.  

Please take positively.  Even at this stage we are learning from our team members but that is an exception.  It should be very often.  At least basic knowledge should be there when you are dealing with any subject--need not be entire company law.  

You are right if I or any body is playing blame game. We do not get anything out of it.

In the profession I find a habit to blame the juniors for their poor knowledge, I observe in definition clause relating to the Secretary proposing Company Secretary or Secretary what it means no one has commented. Why the senior members are silent, what they have done. In my opinion they have no right to blame the juniors for their poor knowledge it is they who are responsible.

History repeats itself.  Pre-independent era was also more or less same.  When present tense become past tense it becomes sweet.   Fresher CS are jobless due to their poor knowledge  ( I am really pained when I make this statement).   Even my client could not get proper fresh CS.  Young CS should understand in real sense what is Company Secretary.  This position is very unique.   You are management and at the same breath you are not management.  Authorities are expecting lots of courage from CS.  Satyam case defining role of compliance office is eye opening and we need to learn from the observations made by the judges.  CS profession has very bright future and day will come CS will be branded as "Corporate Counseller".  Before we achieve this status we need to do followings:-

1. Institute has to set a standard of ensuring that really intelligent and knowledgeable students are passed.  
2. It should become a college examination that you appear and pass--either in first trial or second trial. 
3. Increase in the period of training  15 months to 36 months. 
4. CS should read lots of materials. Keep and update with latest judgements. 
5. CS should accept all kinds of challenges while in the job--CS should keep his compass very wide.  I have handled labour laws, administrative laws, import and export,  administration, accounts, taxation apart from secretarial and legal.  
6. Problems should be considered challenges and challenges to be fought.  sometime CS may be required to resign as he is always on the Volcano.  We should remember "Tipu Sultan" say that better to live like a tiger than goat having long life.  
7. CS should be diplomatic and not politician.  Balancing act is very important.  Proper documentation should be made as and when there is a room for doubt.  
8.  CS should not be ashamed of doing the smallest job but should feel proud of doing the topmost corporate job. 

 List is very long.  Dear Shri Hemantji please do not feel nervous   there is always light at the end of tunnel.  Let us roar that we are CS! proud to be CS!  desire to be CS even in the next birth!

Between so many welcomes and farewells Companies Act and opportunities for CS Profession are sandwiched, ignored.
Government is directionless, PM functionless,  other Ministers -timeless(busy in minting). ICSI ??????? Students - training and commitment less  and fresh members jobless,
Let's stop these formalities and think seriously about our bread and butter.
Everyone can still be optimistic about Govt. at his own risk and ignorance.
Government comes out with big bang.... and has to be on backfoot soon... improper planning, lack of commitment,  lack of focus... it is getting carried away by allegations against its way of functioning, ministers, ..... may be there is element of truth ....hindrance to self-esteem ...
Oh God Save your own land.... !
God may be wondering.... is the nation indirectly sold, transferred, looted completely .. what is left for him to save
Unfortunately in name of development all governments are on the verge of getting bankrupt.... youth jobless... Bharat Nirmaan......????????
